Terms of Use

These terms of service (“Terms”) cover your use and access to our services and websites ("Service"). Your agreement is with Shincube Pte Ltd ("Shincube", "Us", "We"). Our Privacy Policy explains how we collect and use your information while our Acceptable Use Policy outlines your responsibilities when using our Services. By using our Service, you are agreeing to be bound by these Terms, Privacy Policy, and Acceptable Use Policy.

General

The below states the General Terms of Use with Shincube. Depending on the Service you are using, there may be additional Terms specific to the Service. You are advised to read the Terms pertaining to the Service, which is available on its corresponding website.

Platform Terms

You must be either a natural person (individual human being) who is 13 years or older, or a legal entity (company/business). Accounts registered by any automated method are not permitted.
You must provide a valid email address.
Your Account is non-transferable and may only be used by one person or entity.
One person or entity may not maintain more than one Account.
You must not share your account credentials or give others access to your Account. We will not be liable for any loss or damage from your failure to comply with this security obligation. You are responsible for maintaining the security of your Account and password, and for all activity that occurs under your Account.
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.
You understand that Shincube uses third-party vendors to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve a) transmissions over various networks; and b) changes to conform and adapt to technical requirements of connecting networks or devices.
You are not allowed to resell our code, whether individually or as a whole library.
You are not allowed to share our code, nor upload it in an open source/public repository.
You understand that We reserve the right to immediately disable your use of the Service or Account if your bandwidth usage significantly exceeds the average bandwidth usage of other users, where the average is determined solely by Shincube.

Cancellation & Termination

You are solely responsible for properly cancelling your Account and you can stop using the Service at any time by emailing support@shincube.com.
We reserve the right to suspend or terminate your access to the Service with notice to you if a) you are in breach of these Terms, b) your use of the Services would cause a real risk of harm or loss to us or other users.
Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and deny you future use of the Service.
All of your Content or Information will be immediately deleted from the Service upon cancellation or termination and will be irrecoverable.

Refunds or Exchanges

As our Service involves software that can be downloaded, there will be no refunds for payments made. Depending on the Service you use, there will always be a free version, period of trial use, or confirmation on deliverables received before invoice. You are advised to test and verify before making any payments to Shincube.

Modifications to the Service

Shincube reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (in whole or any part thereof) with or without prior notice.
Shincube shall not be liable to you or to any third-party for any modification, suspension or discontinuance of the Service.

Copyright and Content Ownership

Shincube and its designee have the right in their sole discretion to delete or disable any Content that is available via the Service.
Shincube does not endorse you, nor your use of the Service.
You shall defend Shincube against any claim, demand, suit or proceeding made or brought against Shincube by a third-party alleging that Your Content, or Your use of the Service in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third-party or violates applicable law, and shall indemnify Shincube for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Shincube in connection with any such claim, demand, suit or proceeding; provided, that Shincube (a) promptly gives You written notice of the claim, demand, suit or proceeding; (b) gives You sole control of the defense and settlement of the claim, demand, suit or proceeding (provided that You may not settle any claim, demand, suit or proceeding unless the settlement unconditionally releases Shincube of all liability); and (c) provides to You all reasonable assistance, at Your expense.

Services “AS IS”

Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis. TO THE FULLEST EXTENT PERMITTED BY LAW, SHINCUBE AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Warranty

Shincube does not warrant that a) the Service will meet your specific requirements, b) the Service will be uninterrupted, timely, secure, or error-free, c) the results that may be obtained from the use of the Service will be accurate or reliable, d) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and e) any errors in the Service will be corrected.
You expressly understand and agree that Shincube shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Shincube has been advised of the possibility of such damages), resulting from: a) the use or the inability to use the Service; b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; c) unauthorized access to or alteration of your transmissions or data; d) statements or conduct of any third-party on the Service; e) or any other matter relating to the Service.

Controlling Law

These Terms will be governed by the laws of the Republic of Singapore except for its conflicts of laws principles. However, some countries (including those in the European Union) have laws that require agreements to be governed by the local laws of the consumer's country. This paragraph does not override those laws.

Waiver, Severability & Assignment

Shincube’s failure to exercise or enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Shincube may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Service.

Modifications

We may revise these Terms at any time and from time to time to better reflect: a) changes to the law, b) new regulatory requirements, or c) improvements or enhancements made to our Services.
If you don’t agree to the updates we make, please cancel your Account. By continuing to use or access the Service after the updates come into effect, you agree to be bound by the revised Terms.

Acceptable Use Policy

You agree not to misuse the Service or help anyone else to do so. For example, any of the following in connection with the Service: You must not probe, scan, or test the vulnerability of any system or network; You must not breach or otherwise circumvent any security or authentication measures; You must not access, tamper with, or use non-public areas or parts of the Service, or shared areas of the Service you haven't been invited to; You must not interfere with or disrupt any user, host, or network, for example by sending a virus or code of destructive nature, overloading, flooding, spamming, or mail-bombing any part of the Service; You must not access, search, or create accounts for the Service by any means other than our publicly supported interfaces (for example, creating accounts in bulk or via a "bot"); You must not upload, post, host, or transmit unsolicited communications, promotions or advertisements, or spam; You must not send altered, deceptive or false source-identifying information, including "spoofing" or "phishing"; You must not promote or advertise products or services other than your own without appropriate authorisation; You must not abuse referrals or promotions or any means to circumvent user limits; You must not reproduce, duplicate, copy, sell, resell or exploit any portion of, or use of, or access to the Service. You are not allowed to bundle our code in any themes, frameworks, libraries or product intended for further processing or where you or your client is not a final owner. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated or affiliated with the Service, Shincube, or any other Shincube service; You must not publish or share materials that we determine in our sole discretion to be unlawful, offensive, libelous, defamatory, pornographic or indecent, or that contain extreme acts of violence or terrorist activity, including terror propaganda; You must not advocate bigotry or hatred against any person or group of people based on their race, religion, ethnicity, sex, gender identity, sexual orientation, disability, or impairment; You must not harass or abuse Shincube personnel or representatives or agents performing services on behalf of Shincube; You must not violate the law in any way, including storing, publishing or sharing material that is fraudulent, defamatory, or misleading; or You must not violate the privacy or infringe the rights of others.
